The State of Michigan has a few excellent resource guides available on its Web site, including a Business Guide to Selling Securities. The guide gives a general overview of the Michigan
Uniform Securities Act and provides a summary of the registration and exemption provisions of state and federal law. The sale of securities can be an excellent source for a small company to raise capital.
While the State's guide offers a good introduction, technical compliance with the requirements of state and federal securities law is necessary to avoid exposure to criminal, civil or administrative penalties. A person should not engage in any securities related activities until their intended course of action has been discussed with competent legal counsel.
